GENERAL TERM AND CONDITIONS OF SALE

I - APPLICATION OF THE GENERAL TERMS AND CONDITIONS

1.1. These general terms and conditions apply automatically to all provision of the following services: recruitment services, secretarial services, accounting support, management services, organisational services, concierge services and, more generally, the entire range of on-site and remote services marketed by HELP CONSULTING COMPANY – hereinafter referred to as SAS HELP CONSULTING COMPANY

1.2. The contract is deemed to have been concluded on the date of acceptance of the order by HELP CONSULTING COMPANY. Prior to this date, these terms and conditions of service have been made available to the Customer, as referred to in Article L. 441-6 of the French Commercial Code. Any order implies the Customer’s unreserved acceptance of these general terms and conditions, which prevail over all other terms and conditions, except those expressly accepted by HELP CONSULTING COMPANY.

II. – ORDER

2.1. To be valid, all orders must be placed in writing or online or by any equivalent technological means that provides proof of contractual agreement, in the form of a quote (or ‘purchase order’, ‘subscription form’ or ‘registration form’).

2.2. Acceptance of the order by HELP CONSULTING COMPANY results from confirmation that it has been received, that the terms and conditions are accepted, and that the terms are confirmed by post, email or any equivalent method. The content of the order may be modified in writing addressed to HELP CONSULTING COMPANY no later than 48 hours before the agreed date for the start of the provision of the said services. After this date, all orders are considered firm and final. Any changes made by the Customer may result in additional charges and a new completion date.

2.3. The Customer may, during the execution of an order, activate a service not explicitly mentioned in the initial quote, with the express agreement of HELP CONSULTING COMPANY. If the newly activated service results in a price increase compared to the initial quote (for example, in the case of the activation of a ‘Premium’ service not included in the quote), HELP CONSULTING COMPANY must inform the Customer in writing as soon as the service is first activated and seek their agreement to the new pricing, by means of an amendment to the initial quote. If not refused by the Customer, the amendment shall be deemed accepted upon the second activation of the service by the Customer. In the event of refusal by the Customer, the service shall be invoiced at the rate of the initial quote for the first activation and shall not be activated thereafter.

III. – DESCRIPTION OF SERVICES

3.1. HELP CONSULTING COMPANY offers comprehensive administrative support services dedicated to micro-businesses, professionals, SMEs, mid-cap companies and large corporations: all administrative and organisational assistance falling within the scope of the services offered by HELP CONSULTING COMPANY, such as: secretarial services; accounting and financial management assistance; HR management; purchasing/general services management; sales administration/customer relations; project management. This list of services is not exhaustive and may be expanded at any time with new services developed by HELP CONSULTING COMPANY. Certain service descriptions may be modified by HELP CONSULTING COMPANY without affecting their nature, content or price, as these modifications do not require an amendment to the quote.

3.2. The Client is informed that certain services requiring specific expertise – such as accounting, legal, bilingual, HR, purchasing, project management, events, marketing/communication, medical, advanced spreadsheet, audio transcription – are subject to specific pricing.

3.3. Services may be provided on an ad hoc or recurring basis, on-site or remotely, or a combination of both, depending on the Client’s wishes and the assessment of their specific needs.

3.4. Services are provided by HELP CONSULTING COMPANY Assistants selected for their skills, qualifications and abilities in full accordance with the Client’s specifications, carrying out assignments in accordance with the rules and requirements set by the Client and at the Client’s service for the duration of the assignment to deliver the agreed services.

IV - PERFORMANCE OF THE SERVICE - PERFORMANCE DEADLINE

4.1. Unless otherwise specified in the order, the services will be provided at the locations and on the dates chosen by the Client when placing the order. The contractual deadline shall be automatically suspended by any event beyond the control of HELP CONSULTING COMPANY that results in a delay in the provision of the services. HELP CONSULTING COMPANY shall only perform the services within the contractual time frame if the Client has fulfilled all of its obligations, in particular its obligation to pay the price of the services, to HELP CONSULTING COMPANY. HELP CONSULTING COMPANY undertakes: – to provide the services in accordance with the terms of the order form, – to make available to the HELP CONSULTING COMPANY Assistant all the tools and equipment necessary for the proper performance of his mission, – to perform its services in accordance with good professional practice and with a constant concern for quality of service.

4.2. Services are provided on the days and at the times agreed with the Client and formalised in the contract, which is deemed to be in force upon signature of the quote. Any on-site intervention by a HELP CONSULTING COMPANY Assistant within the framework of the service ordered is for a minimum duration of three hours. The service is provided exclusively within the framework of the company. HELP CONSULTING COMPANY’s interventions usually take place from Monday to Friday between 9 a.m. and 7 p.m.

The type of service, the number of hours and the dates of the intervention are agreed between the Client and HELP CONSULTING COMPANY during an appointment to assess the client’s needs, then defined in writing when the quote and the service contract are signed. HELP CONSULTING COMPANY is only committed once it has received the quote and service contract signed by the Client, as well as the information sheets required to perform the services agreed between the parties. HELP CONSULTING COMPANY will therefore not be liable for any services following a simple telephone call or appointment. In the case of services provided through canvassing, the Client has a right of withdrawal of 14 days from the date of signing the contract or service quotation. No payment shall be made until 7 days after the conclusion of the contract.

4.3. HELP CONSULTING COMPANY undertakes to ensure the availability of the same HELP CONSULTING COMPANY Assistant(s) to the Client for the duration of the contract, except in cases of force majeure. If the Client is not satisfied with the services of the Assistant assigned to them at the start of the contract, HELP CONSULTING COMPANY undertakes to provide them with a replacement Assistant, limited to one replacement. This replacement commitment also applies in cases of force majeure such as absence, illness, mobility, termination of employment contract, relocation of the Assistant or the Client, etc.

4.4. Beyond a 12-calendar-month assignment period for a HELP CONSULTING COMPANY Assistant working for the Client, a replacement for the Assistant will automatically be proposed. If, however, the Client wishes to retain the same Assistant for the assignment, the applicable rate may be reassessed by HELP CONSULTING COMPANY on the basis of the Assistant’s increased competence in the assignment.

V – CUSTOMER OBLIGATIONS

5.1. Before placing any order, the Customer shall read these general terms and conditions. The Customer shall ensure, prior to placing an order, that the services are likely to meet their expectations, in particular by consulting the documents describing said services. The Customer must immediately inform HELP CONSULTING COMPANY of any inadequacy of the service offered, in particular when it does not meet their needs, with any service ordered and whose performance has begun nevertheless giving rise to payment.

5.2. In the event that the Customer is not satisfied with the service provided, a complaint shall be admissible if it is notified to HELP CONSULTING COMPANY by telephone and confirmed by letter no later than seven calendar days after the service has been provided. Any complaint made after this period shall not be taken into consideration.

5.3. If the Client wishes to cancel or postpone a scheduled intervention, they must inform HELP CONSULTING COMPANY in writing at least 48 hours before the originally scheduled date. If the Client is absent during an intervention where their presence was expected, the service will be considered cancelled by the Client after a waiting period of 15 minutes. In general, if the HELP CONSULTING COMPANY representative, upon arrival at the address where they are to carry out their assignment, finds that they cannot carry out their assignment due to the Customer, the service shall be considered due.

5.4. The Customer undertakes to respect the intellectual property rights of HELP CONSULTING COMPANY and third parties.

5.5. The Client also undertakes: – in the event of on-site intervention, to provide the HELP CONSULTING COMPANY Assistant with a quiet and functional place to carry out their assignment, – to have the services performed exclusively within the contractual framework defined with HELP CONSULTING COMPANY.

5.6. Non-solicitation: The Client undertakes not to solicit services from its HELP CONSULTING COMPANY Assistant outside the contractual framework defined with HELP CONSULTING COMPANY, and not to offer or accept the direct employment of its HELP CONSULTING COMPANY Assistant for any task whatsoever, unless expressly agreed by HELP CONSULTING COMPANY. Each employee of HELP CONSULTING COMPANY is bound by a non-competition clause. The Client shall refrain from directly or indirectly employing any representative of HELP CONSULTING COMPANY who has provided services during the term of the service provision and for an additional year in the event of termination of the service provision.

VI – FINANCIAL CONDITIONS – PAYMENT

6.1. Prices Unless otherwise specified in the terms and conditions specific to the services ordered, the prices of the services ordered are those listed in the catalogue and price list on the date of the order. Prices are firm and final on that date. HELP CONSULTING COMPANY reserves the right to modify the prices of its services at any time. HELP CONSULTING COMPANY undertakes to inform the Client of any price increase at least one month before it comes into effect.

6.2. Payment terms – Invoicing

HELP CONSULTING COMPANY issues an invoice at the end of each month, a copy of which is delivered to the Client on the same day. Services are invoiced at the rate in force on the date the quote is issued or, where applicable, on the date of any subsequent amendments. Payment for the Order shall be made by direct debit from the account details provided to HELP CONSULTING COMPANY by the Client, 14 days after receipt of the invoice and between the 15th and 20th of each month, for services delivered during the previous month. Under no circumstances may payments due to HELP CONSULTING COMPANY be suspended or subject to any reduction or compensation without the written consent of HELP CONSULTING COMPANY. Any payment made to HELP CONSULTING COMPANY shall be applied to the amounts due, regardless of the cause, starting with those that are oldest.

VII – COMPLAINTS

VIII – WARRANTIES – DATA PROTECTION

8.1. Services are provided by HELP CONSULTING COMPANY in accordance with the order. HELP CONSULTING COMPANY guarantees the provision of an adequate service based on the choices expressed by the Client.

8.2. Insurance and Liability HELP CONSULTING COMPANY declares that it is insured for Professional Civil Liability (bodily injury, property damage and consequential loss) for any damage that may be caused by the HELP CONSULTING COMPANY Assistant in the course of their work. Any damage must be reported immediately by the Client and confirmed by registered letter no later than 48 hours after the service has been provided. The HELP CONSULTING COMPANY Assistant may not receive any delegation of authority from the Client over their assets, property or rights, donations, deposits of funds, jewellery or valuables.

8.3. Confidentiality – The HELP CONSULTING COMPANY Assistant made available to the Client is bound by professional secrecy. They are directly responsible for maintaining the strictest confidentiality and are required not to disclose any confidential information communicated to them by the Client in the course of their work, including within HELP CONSULTING COMPANY, without any time limit.

8.4. Protection of personal data HELP CONSULTING COMPANY undertakes to comply with the applicable legislation on data protection, in particular the General Data Protection Regulation (also known as the GDPR) and the amended French Data Protection Act of 6 January 1978. The data protection policy applied by HELP CONSULTING COMPANY in this regard covers, in particular, the rights of access, rectification, deletion, portability and limitation available to persons involved in a relationship with the Company through the processing of personal data carried out by the Company. The Company is available to any user of its services and tools to answer any questions concerning the protection of personal data at HELP CONSULTING COMPANY by email addressed to helpconsultingcompany@gmail.com and by post to HELP CONSULTING COMPANY, 21 Rue Lucien Dupuis, 28500 Vernouillet, France.

IX – DURATION

This contract is for an indefinite period, or for the period specifically provided for in the offer subscribed to, as indicated on the order form.

X – SUSPENSION – TERMINATION

10.1. Suspension of service as a penalty In the event of non-performance by the Client of any of the obligations provided for in these general terms and conditions, and in particular its obligation to pay the agreed price, HELP CONSULTING COMPANY may, after sending a letter or email giving notice to comply with the terms of these general terms and conditions, which remains without effect for 10 days from the date of dispatch, suspend the provision of the service, without the Customer being entitled to claim any refund or reduction in price in this respect.

10.2. Early termination as a penalty If the Client fails to comply with any of the obligations of these general terms and conditions, through its own fault or negligence, HELP CONSULTING COMPANY may terminate the contract 30 days after sending a formal notice, by registered letter or email, to remedy the breach, which has not been followed up.

XI - ASSIGNMENT AND SUBCONTRACTING

HELP CONSULTING COMPANY may transfer the contract to a third party for any reason, in any form whatsoever, including in the context of a transfer of its business or company. HELP CONSULTING COMPANY may entrust a third party with the performance of all or part of its contractual obligations.

XII – MODIFICATION OF THE GENERAL TERMS AND CONDITIONS

HELP CONSULTING COMPANY reserves the right to modify these general terms and conditions, subject to informing the Customer by means of individual notification. Current contracts are then subject to the modified and, where applicable, supplemented general terms and conditions. HELP CONSULTING COMPANY cannot be held liable in any way as a result of this.

XIII - APPLICABLE LAW – LANGUAGE OF THE CONTRACT – DISPUTES

HELP CONSULTING COMPANY wishes to ensure that the information contained on the website www.helpconsultingcompany.com is accurate and reliable. HELP CONSULTING COMPANY is only bound by an obligation of means with regard to the information it makes available to persons accessing its website. However, errors may occasionally occur. Consequently, the information is provided ‘as is’ without any guarantee. HELP CONSULTING COMPANY rejects any guarantee, explicit or implicit, concerning the information referenced by the website www.helpconsultingcompany.com.

HELP CONSULTING COMPANY reserves the right to modify the information contained on the website www.helpconsultingcompany.com without notifying its customers or prospects.
